Dear Sir/Madam,

In terms of the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR Regulations"), this is to inform you that, the Board of Directors of the Company at its meeting held today i.e. 3[rd] September 2021 has, inter alia, considered and approved the following: -

1. The appointment of Mr. Madan Madhusudan Godse (DIN: 06987767) as Additional Director designated as Independent Director of the Company till the ensuing Annual General Meeting. Mr. Madan Madhusudan Godse is not related to any of the Directors or Key Managerial Personnel or Promoters of the Company. His brief profile is attached herewith in Annexure – 1.

2. Approved the budget for installation of 15 MWp Solar Power Project for captive consumption to reduce the cost of production of the Company.

The meeting started at 11:45 AM and ended at 1:30 PM.

- Details with regard to appointment of Mr. Madan Madhusudan Godse (DIN: 06987767) Independent Director

• 1. Reason for Appointment of Director: The second term of Mr. Pramod H. Mehendale and Mr. Vedant V. Pujari, Independent Directors of the Company, expired on the date of 29[th] Annual General Meeting held on the 27[th] July 2021.

In order to comply with the provision of Regulation 17 (1) (a) of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, the Company was required to appoint 1 more Independent Director.

Considering the knowledge, experience and expertise of Mr. Madan Madhusudan Godse, the Board is of the opinion that he will be a good addition to the Board of Directors of the Company.

2) Brief Profile

• Master of Commerce (M. Com) Master of Arts (M.A.), Associate Member of the Institute of Company Secretaries of India. LL.B. from Pune University. He is practicing as an Advocate since 2006.

• Total 24 plus year experiences in Legal & Secretarial

• Worked as Senior Executive positions in Cummins Diesel Sales and Service (India) Ltd.

• 20 plus years with Cummins India Ltd. as Company Secretary and Head of Legal Department of Cummins India Ltd. and last position held was Vice President - Legal and Company Secretary.

• Area of expertise: Formation of Joint Ventures and Collaborations, Corporate Restructuring, consultancy in the matters related to Mercantile Laws, Foreign Exchange Management Act, Corporate Laws, Statutory Due Diligence, IBC Code related issues, Assistance for drafting, negotiating and closing commercial agreements, representation before the National Company Law Tribunal

• on the Panel of National Stock Exchange of India and Bombay Stock Exchange as Arbitrator
