Item 1.02 Termination of a Material Definitive Agreement.

On June 14, 2021 Precipio Inc. (“Precipio”) terminated the purchase agreement dated March 26, 2020 with Lincoln Park Capital Fund, LLC (“LPC”) pursuant to which LPC has agreed to purchase from us, from time to time, up to $10,000,000 of our common stock, subject to certain limitations, during the 24 month term of the Purchase Agreement. Precipio did not incur any early termination penalties in connection with the early termination of the Agreement.
