In accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) and in continuation to our earlier announcements dated 27[th] September, 2024, 4[th] October, 2024, 11[th] October, 2024, 28[th] November, 2024, 8[th] January, 2025 and 7[th] February, 2025, we hereby inform you that pursuant to the execution of the Share Purchase Agreement (‘SPA’) dated 26[th] September, 2024 between Peak XV Partners Growth Investments II, Peak XV Partners Growth Investment Holdings I and Sequoia Capital GFIV Mauritius Investments, part of Promoter and Promoter Group of the Company (hereinafter collectively referred to as ‘Sellers’ ) and Authum Investment and Infrastructure Limited and Ms. Mahi Madhusudan Kela (hereinafter collectively referred to as ‘Buyers’ ) along with the Open Offer made to the public shareholders for upto 62,98,351 equity shares of the Company, the Buyers have, on 25[th] February, 2025 acquired 1,13,48,709 equity shares of the Company (i.e. 127 equity shares acquired by way of Open Offer and 1,13,48,582 equity shares acquired under the SPA), representing 47.54% of the equity share capital of the Company.
Pursuant to the aforesaid transaction, the Company shall become an associate company of Authum Investment and Infrastructure Limited.
