Shareholder request for meeting
15 March 2017, Melbourne: Praemium Limited ABN 74 098 405 826 ( Company ) gives notice that it has received a purported notice under s249D of the Corporations Act 2001 (Cth) signed by Mr Michael Bernard Ohanessian, Mr Michael Bernard Ohanessian and Mrs Candace Ohanessian <M & C Ohanessian S/F A/C>, National Nominees Limited (in its capacity as nominee for Paradice Investment Management Pty Ltd ATF Paradice Micro Investment Fund (A/C PSMCAE), Australian Ethical Limited ATF the Australian Ethical Australian Shares Fund and Australian Ethical Limited ATF the Australian Ethical Emerging Companies Fund in respect of 47,644,652 shares) and SupertcoPty Ltd <TAG Small Cap Fund A/c> requesting that the Company call and arrange to hold a general meeting to consider resolutions to:
-
(a) remove as directors of the Company, Messrs Andre Carstens, Peter Mahler, Robert John Edgley and Greg Camm and any person appointed as a director of Praemium Limited on and from 14 March 2017 until the commencement of the general meeting at which the resolution in respect of the person is passed; and

(b) appoint Messrs Barry Steven Lewin, Stuart Mark Robertson and Daniel Leon Lipshut.
The Company is seeking advice as to its position with respect to the purported notice and will keep shareholders informed of all material developments in relation to it and the Company's response.
