Sub: Intimation of Transaction undertaken by Promoter Group of Pradeep Metals Limited (‘the Company’)

Ref.: ISIN - INE770A01010 Scrip Code – 513532

The Company has received intimation from the Promoter Group dated 30[th ] December, 2022 regarding the transaction undertaken, the details of which are as follows:

Background

• a. Mr. Pradeep Goyal, Mrs. Neeru Goyal and M/s. Nami Capital Private Limited (hereinafter referred to as Nami Capital) form part of the Promoter Group of the Company and hold, as on date, 15,76,400 Equity shares (9.12%), 9,19,927 Equity shares (5.33%), and 1,01,94,456 Equity shares (59.03%) respectively of the total Share Capital of the Company (in aggregate 1,26,90,783 Equity Shares constituting direct shareholding of 73.48% in the total paid-up capital).

• b. Mr. Pradeep Goyal and Mrs. Neeru Goyal also hold, in aggregate, 96.11% of Equity Shares in Nami Capital Private Limited, which is the Holding Company of Pradeep Metals Limited. Further, by this virtue, they indirectly hold 56.73% (i.e. beneficial ownership) of Shares in the Company through Nami Capital Private Limited.

• c. Nami Capital Private Limited has bought-back 6,624 Equity Shares from one of the Shareholders and resultantly, the aggregated shareholding of Mr. Pradeep Goyal and Mrs. Neeru Goyal now stands at 100.00% of Equity Shares in Nami Capital Private Limited and the percentage of their beneficial ownership in the Company through Nami Capital Private Limited now stands enhanced at 59.03%.

• d. The indirect shareholding in the Company through Nami Capital Private Limited of Mr. Pradeep and Mrs. Neeru Goyal pre and post the said transaction has been summarized as under:

It is pertinent to note here that, there are no changes in the number of Shares or percentage of the Shares held by the Promoter Group in the Company. Only the percentage of indirect holding (i.e. beneficial ownership) of two Shareholders i.e. of Mr. Pradeep Goyal and of Mrs. Neeru Goyal from the Promoter Group has changed due to the said transaction.

Disclosures:

Pursuant to Regulation 29(2) of SEBI SAST Regulations any person, who together with persons acting in concert with him, holds shares or voting rights entitling them to five per cent or more of the shares or voting rights in a target company, shall disclose the number of shares or voting rights held and change in shareholding or voting rights, even if such change results in shareholding falling below five per cent, if there has been change in such holdings from the last disclosure made under subregulation (1) or under this sub regulation; and such change exceeds two per cent of total shareholding or voting rights in the target company.

However, as per our understanding, in the given instance this disclosure shall not be applicable as in the said transaction there is no acquisition taking place of Shares of the target Company i.e. Pradeep Metals Limited also there is no change in the overall holding of the Promoter Group.
