NOTICE is hereby given that the 28[th] (Twenty Eighth) Annual General Meeting ("AGM") of the Shareholders of Astec LifeSciences Limited ("the Company") will be held on Monday, July 25, 2022 at 4.00 p.m. (IST) through Video Conferencing ("VC") / Other Audio Visual Means ("OAVM") to transact the business, as set out in the Notice of the AGM.

The Ministry of Corporate Affairs ("MCA"), vide its Circular dated May 5, 2020, read with the Circulars dated April 8, 2020, April 13, 2020, June 15, 2020, September 28, 2020, December 31, 2020 and June 23, 2021, December 8, 2021 and May 5, 2022 (collectively referred to as "MCA Circulars"), has permitted the holding of AGM through VC or OAVM, without the physical presence of the Shareholders at a common venue. The Board of Directors, at its Meeting held on May 2, 2022, has recommended a Final Dividend of 15% (Fifteen per cent) [i.e., @ Rs.1.50 (Rupee One and Paise Fifty Only) per Equity Share of Face Value of Rs.10/- (Rupees Ten Only)] for the Financial Year ended March 31, 2022, subject to the approval of the Shareholders at the 28th AGM.

The Register of Members and Share Transfer Books of the Company will remain closed from Thursday, July 21, 2022 to Sunday, July 24, 2022 (both days inclusive) for annual closing and determining the entitlement of the Shareholders to the Final Dividend for the Financial Year 2021-22. The Dividend, if declared, will be paid to the Shareholders whose names appear in the Register of Members of the Company as on Wednesday, July 20, 2022 and in respect of shares held in dematerialized form, it will be paid to Shareholders whose names are furnished by National Securities Depository Limited ("NSDL") and Central Depository Services (India) Limited ("CDSL"), as the beneficial owners as on that date.

MANNER OF PAYMENT OF FINAL DIVIDEND, IF DECLARED AT THE AGM:

The Final Dividend, if approved by the Shareholders at the 28th AGM, will be paid electronically through various online transfer modes to those Shareholders who have updated their bank account details with the Company's Registrar and Share Transfer Agent / Depository Participants.
