Item 8.01 Other Events

On September 3, 2015, PPL Electric Utilities Corporation ("PPL Electric") issued a press release announcing it had entered into a settlement agreement with the parties to its March 2015 request to increase its distribution rates by approximately $167.5 million. The settlement agreement, which must be approved by the Pennsylvania Public Utility Commission, would increase PPL Electric's annual distribution revenues by approximately $124 million, effective January 1, 2016. A copy of the press release is filed herewith as Exhibit 99.1 and incorporated by reference herein.
