Announcement on Change in Major Holdings

On the basis of Article 124 of the Market in Financial Instruments Act (ZTFI) and the rules of the Ljubljana Stock Exchange, d.d., Ljubljana, Sava Re, d.d., Ljubljana, hereby announces the following:

On 3 January 2018, Sava Re, d.d. received a notice from Slovenian Sovereign Holding, d.d. (SDH) stating that based on a resolution of the government of the Republic of Slovenia, SDH transferred, for no consideration, 1,261,034 of Sava Re, d.d shares (POSR shares) to the Republic of Slovenia.

Prior to the transfer, SDH held 4,304,917 shares, which represented 25 % (plus one share) of the total issued shares of Sava Re, d.d., or 27.78 % of shares with voting rights.  

After the transaction, SDH holds 3,043,883 shares, which represents 17.68 % of issued shares of Sava Re, d.d., or 19.64 % of shares with voting rights.

Prior to the transfer, the Republic of Slovenia held 476,402 shares, which represented 2.77 % of the total issued shares of Sava Re, d.d., or 3.07 % of shares with voting rights.  

After the transaction, the Republic of Slovenia holds 1,737,436 shares, which represents 10.09 % of issued shares of Sava Re, d.d., or 11.21 % of shares with voting rights.

The company’s share capital is divided into 17,219,662 shares. The total number of shares with voting rights is 15,497,696, representing 90 % plus one share of all issued shares. The company holds 1,721,966 own shares with no voting rights attached, which represents 10 % minus one share of all issued shares.

This announcement will also be available on the Company’s website at www.sava-re.si, at least five years from the date of the announcement.
