Pursuant to Section 13 or 15 (d) of the Securities Exchange Act of 1934, Powerfleet stockholders are advised that a Form 8-K has been filed with the U.S. Securities and Exchange Commission.

Effective May 29, 2026, Mike Powell will depart from his role as Chief Innovation Officer of the Company. The Company received notice of Mr. Powell’s departure on May 18, 2026.

The Company thanks Mr. Powell for his contributions and wishes him well in his future endeavors. The Company expects to provide an update on its enhanced technology leadership team at its earnings call on June 15, 2026.
