Exercise of Options
The Company announces that on 17 April 2013, Brett Phillips, Group Finance Director, exercised options under The Portmeirion 2002 Share Option Scheme to subscribe for a total of 45,000 ordinary shares of 5p each in the Company ("Ordinary Shares") at an exercise price of £1.975 each and 45,000 Ordinary Shares at an exercise price of £3.745 each. Accordingly, the Company has issued 90,000 new Ordinary Shares.
On 17 April 2013, Mr Phillips subsequently sold a total of 51,823 Ordinary Shares at £6.10 per share; this amount being sufficient to pay the balance of associated costs of exercise. Following the exercise and sale, Mr Phillips has increased his interest in the Company to 92,057 Ordinary Shares representing 0.86% of the issued share capital of the Company.
In addition, the Company announces that on 17 April 2013, two employees of the Group exercised options under The Portmeirion 2002 Share Option Scheme to subscribe for a total of 6,000 Ordinary Shares at an exercise price of £3.745 each. Accordingly, 4,000 new Ordinary Shares will be issued and 2,000 shares transferred from shares held in treasury by the Company.
Application has been made for 96,000 Ordinary Shares to be admitted to trading on AIM and trading of these shares is expected to commence on 26 April 2013.
The total number of Ordinary Shares now held by the Company in treasury is 324,024. The Company has 10,972,154 Ordinary Shares in issue and 10,648,130 Ordinary Shares with voting rights following this notification.
