The articles of the Corporation are amended to provide that all of the issued and outstanding common shares in the capital of the Corporation are consolidated on the basis of ten (10) pre-consolidation common shares for one (1) post-consolidation common share.

No fractional post-consolidation common shares shall be issued. Any fractional interest in a common share resulting from the consolidation shall be rounded down to the nearest whole common share.
