On August 7, 2023, the Board of Directors of PolyPid Ltd. (the “Company”) approved an increase in the number of ordinary shares, no par value per share, of the Company reserved for issuance under the Company’s Amended and Restated 2012 Share Option Plan (the “Share Option Plan”) by 156,667 ordinary shares (4,700,000 pre- reverse split of ordinary shares) from 155,736 (4,672,094 pre- reverse split of ordinary shares) to 312,403 (9,372,094 pre- reverse split of ordinary shares). A copy of the Share Option Plan, as amended, is filed with this report as Exhibit 99.1.
