Sermaye Piyasası Kurulu'nun 3 Ocak 2014 tarih ve 28871 sayılı Resmi Gazete'de yayımlanarak yürürlüğe giren II.17.1 sayılı "Kurumsal Yönetim Tebliği"nin 10. Maddesi hükmü gereğince, 2023 faaliyet yılında gerçekleşmesi öngörülen "Yaygın ve Süreklilik Arz Eden İlişkili Taraf İşlemleri"nin uygunluğunun değerlendirilmesi amacıyla Denetim Komitesi tarafından hazırlanan 27.10.2023 tarihli rapor Yönetim Kurulu tarafından kabul edilmiş olup, raporun sonuç bölümü aşağıda bilgilerinize sunulmuştur.

2023 Yılında Öngörülen Yaygın ve Süreklilik Arz Eden İşlemlere İlişkin Raporun Sonuç Bölümü:

Sermaye Piyasası Kurulu'nun II-17.1 sayılı "Kurumsal Yönetim Tebliği "nin 10. maddesi uyarınca, Şirketimizin 2023 yılı hesap dönemi içinde MacDermid Performans Solutions Kimyasal Sanayi ve Ticaret A.Ş.'den veya Coventya Kimya Sanayi ve Ticaret A.Ş.'den yapacağı yaygın ve süreklilik arz eden ürün alım ve satım işlemleri kapsamında öngörülen alım ve satım tutarlarının hesaplanmasında, aynı nitelikteki işlemlerin toplu olarak değerlendirilmesi esas alınmıştır.

İşbu Raporda, 2023 yılı sonuna kadar benzer koşullarla devam etmesi beklenen aynı tür işlemlerin koşulları, fiyat belirleme yöntemi ve bu yöntemin seçilme nedenleri açıklanmış ve Şirket'in beklenen ilişkili taraf işlemlerinin geçerli piyasa koşullarına uygunluğu hakkında bilgi verilmiştir.

Politeknik Metal Sanayi ve Ticaret A.Ş., Şirket'in 2022 yıl sonu finansal tablolarındaki hasılat tutarına dayanak teşkil eden, Şirket'in Element Solutions Inc. grubundaki ilişkili taraflarla 2023 yılında yapacağı toplam satışların %10 eşiğini aşmasını öngörmektedir.

Politeknik Metal, Şirket'in 2022 yıl sonu finansal tablolarındaki Satışların Maliyeti'ne (Satılan Malın Maliyeti) dayanak teşkil eden, Şirket'in Element Solutions Inc. grubundaki ilişkili taraflarla 2023 yılında yapacağı toplam alımların %10 eşiğini aşmasını öngörmemektedir.

Politeknik Metal Sanayi ve Ticaret A.Ş., Politeknik Metal tarafından Element Solutions Inc grubu içerisinde yer alan ilişkili taraflara yapılan satış işlemlerinde uygulanan fiyatların değerlendirilmesinin makul ve piyasa koşulları ile tutarlı olduğuna inanmaktadır. Söz konusu öngörülen satışlara ilişkin olarak emsallere uygunluk ilkesine aykırı bir durum tespit edilmemiştir.

(1 Alternative to clarify the Turkish text on the ESI side) Pursuant to the published Corporate Governance Communique of the Capital Market Board in the official gazette that has enacted on January 3rd, 2014, "Common and Continious Related Party Transactions" predicted to be realized in 2023 so as to assess applicability of this tansactions in the report dated October 27th, 2023 prepared by the Audit Committee has been accepted by the Board and conclusion part of the report has been submitted for your information as follows.

(2 Alternative to clarify the Turkish text on the ESI side) Pursuant to the Capital Markets Board's Corporate Governance Communiqué published in the Official Gazette, which came into force on January 3rd, 2014, Audit Committee prepared report about the "Common and Continuous Related Party Transactions", which is expected to take place in 2023, so as to assess the applicability in the report dated October 27th, has been accepted by the Board. The conclusion part of the report is submitted to your information as follows.

Conclusion Section of the Report Regarding the Predicted Common and Continuous Related Party Transactions in 2023:

Pursuant to Article 10 of the Capital Markets Board's "Corporate Governance Communiqué" numbered II-17.1, the calculation of the expected amounts of the Company's purchases and sales under our Company's common and continuous product purchase and sales transactions from and to either MacDermid Performans Solutions Kimyasal Sanayi ve Ticaret A.Ş.  or Coventya Kimya Sanayi ve Ticaret A.Ş. within the 2023 accounting period is based on the collective evaluation of past transactions of the same nature.

The conditions of the same type of transactions, which are expected to continue with similar conditions until the end of 2023, the price determination method and the reasons for choosing this method, have been explained herein and information has been provided about compliance of the Company's expected related party transactions with applicable market conditions.

Based on the amount of revenue in 2022 as outlined in the 2022 financial statements, which are the Company's latest annual financial statements, Politeknik Metal Sanayi ve Ticaret A.Ş. expects that the Company's total sales to the related parties within the Element Solutions Inc group will exceed 10% of its expected revenues in 2023.

Based on the cost of sales in 2022 as outlined in the 2022 financial statements, which are the Company's latest annual financial statements, Politeknik Metal does not expect that the Company's total purchases from related parties within the Element Solutions Inc group will exceed 10% of its expected cost of sales in 2023.

Politeknik Metal Sanayi ve Ticaret A.Ş. believes that evaluating the prices applied in the sale transactions made by Politeknik Metal to related parties within the Element Solutions Inc group is reasonable and consistent with market conditions. No situation contrary to the arm's length principle has been detected regarding such anticipates sales.
