In view of the continuing COVID-19 pandemic, the Ministry of Corporate Affairs ("MCA") has, vide its Circular dated 8th April, 2020, 13th April, 2020, 5th May, 2020 and 13th January, 2021 (collectively referred to as "MCA Circulars"), permitted the holding of the Annual General Meeting ("AGM") through Video Conferencing ("VC") and Other Audio Visual Means ("OA VM"), without the physical presence of the Members at a common venue.

This is to inform that in compliance with the provisions of the Companies Act, 2013 ("the Act"), the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations") and MCA Circulars, Pokama Limited ("the Company") has decided to hold its 30th AGM on Friday, August 06, 201 through VC/OAVM.

Pursuant to MCA Circulars, read with Regulations 4 7, 30 and Schedule lll of the Securities and Exchange Board oflndia (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby enclosed the copies of newspaper advertisements published on Saturday, July 10, 2021 in Business Standard (in English language) and Nava Telangana (in Telugu language) in respect of information regarding the 301h AGM of the Company.

Shareholders may note that the 30" Annual General Meeting (AGM) of the Members of Pokarna Limited ('the Company') will be held on Friday, 06 August, 2021 at 11.00 A.M. IST through Video Conferencing ('VC") I Other Audio Visual Means ('OAVM") to transact the business that is as set out in the Notice of the AGM. In view of the COVID·19 pandemic, the Ministry of Corporate Affairs ("MCA') has vide Its general circular nos. 14/2020, 1712020, 2012020 and 02/2021 dated April 6, 2020, April 13, 2020, May 5. 2020 and January 13, 2021 (collectively referred to as 'MCA Circulars") and circular no. SEBI/ HO/CFD/CMD1/CIR/P/2020/79 dated May 12, 2020 and SEBl/HO/ CFD/CMD2/CIR/P/2021/11 dated January 15, 2021 issued by Securities of Exchange Board of India ("SEBI Circulars"), permitted convening the AGM through VC or OAVM, without the physical presence of the members at a common venue.

The Notice of the AGM and the Annual Report for the year 2020· 2021 including the and the standalone and consolidated financial statements, along with Board's Report, Auditors' Report and other documents required to be attached thereto (i.e. Annual Report 2020· 2021) will be sent only by electronic mode to those Members whose email IDs are registered with the Registrar & Transfer Agent (RTA) of the Company or Depositories. The Notice of the AGM and Annual Report will also be available on the website of the Company at www.pokarna.com, website of Kfin Technologies Private limited (KFintech), the RTA of the Company, at https://evoting.kfintech.com and websites of the stock exchanges I.e. National Stock Exchange of India Limited at www.nseindia.com and BSE limited at www.bseindia.com.
The members can attend and participate in the AGM through VC I OAVM facility only. The instructions for joining the AGM and manner of participation in the remote e-voting or casting the vote through the a-voting facility system during the AGM are provided in the Notice. Members attending the AGM through VC I OAVM shall be reckoned for the purpose of quorum under Section 103 of the Act.

1. In case of a member whose e-mail address Is not registered I updated with the Company/ KFintech I Depository Participant(s), please follow the following steps to generate your login credentials:
a) Members holding shares in physical mode and who have not registered /updated their email address with the Company are requested to register/ update the same by writing to the Company's RTA, KFintech with details of folio number. name of shareholder and attaching a self-attested copy or PAN card and Aadhar card at [email protected].
b) Members holding shares in dematerialised mode who have not registered their e-mail addresses with their Depository Participant(s) (DPs) are requested to register/ update their email addresses with the DPs with whom they maintain their demat accounts.
c) After due verification, the KFlntech will forward your a-voting login credentials to your registered email address.

The Shareholders may note that the Board of Directors. at its Meeting held on June 21, 2021, has recommended a Dividend of 30% (Thirty percent) [i.e., @ Rs.0.60 (Rupee Sixty Palse Only) per Equity Share of Face Value of Rs.2/· (Rupees Two Only)) for the Financial Year ended March 31, 2021, subject to the approval of the Shareholders at the AGM.
1. The Company has fixed Friday, 30 July 2021 as the 'Record Date' for the purpose of AGM and for determining entitlement of Members to dividend for the financial year ended March 31, 2021. The dividend, if declared at the meeting, will be paid to those members whose names appear in the Company's register of members as on the Record Date. In respect of the shares held In dematerlalised mode. to the Members whose names are furnished by National Securities Depository limited and Central Depository Services (India) Limited as beneficial owners as on that date. The dividend on equity shares. if declared at the meeting, will be credited I dispatched within 30days from the date of this meeting.

The Dividend, if approved by the Shareholders at the AGM, will be paid electronically through various online transfer modes to those Shareholders who have updated their bank account details with the Company's RTA I DPs. For Shareholders who have not updated their bank account details, Dividend Warrants I Demand Drafts I Cheque will be sent to their registered addresses once the postal facility is available and normalcy is restored.
