Re: Central Clearing Depository Agency Inc.- increase of PODRAVKA Inc. company share capital - Notice

Pursuant to the provisions of the Capital Market Law, Rules of the Zagreb Stock Exchange, and based on the Article 89, and regarding Article 90, item 2 of the Rules of the Central Clearing Depository Agency (hereinafter: CCDA), Certificate by the Zagreb Stock Exchange issued on 27^th July 2015 and Ruling passed by the Commercial Court in Varaždin (no. Tt-15/2691-2), we hereby inform that on 28^th July 2015 CCDA for the Company PODRAVKA Inc., PIN: 18928523252 (hereinafter: Company) noticed that CCDA will on 30^thJuly 2015 in its information system implement the registration on the share capital increase of the Company.

After this increase, in information system of CCDA the share capital will be HRK 1.566.400.660,00 and will be divided to 7.120.003 regular shares labeled PODR-R-A of an individual nominal amount of HRK 220.00.

Enclosed is Notice of CCDA on the share capital increase of the Company.

Predmet: PODRAVKA d.d. - povećanie temelinog kapitala

Poštovani,

na temelju Pravila Središnjeg klirinškog depozitarnog društva d.d., članka 532. Upute Središnjeg klirinškog depozitarnog društva d.d. (dalje: SKDD), Potvrde koju je Zagrebačka burza d.d. izdala 27. srpnja 2015.g. i rješenja br. Tt-15/2691-2 koje je 24. srpnja 2015.g. donio Trgovački sud u Varaždinu, a na temelju kojeg je proveden upis u sudskom registru, obavještavamo vas da će SKDD 30. srpnja 2015. godine u svom informacijskom sustavu provesti upis povećanja temeljnog kapitala društva PODRAVKA d.d., Koprivnica, OIB 18928523252 (dalje u tekstu: Društvo).

Društvo je na Glavnoj skupštini održanoj 3. lipnja 2015.g. donijelo odluku o povećanju temeljnog kapitala s iznosa od 1.192.400.660.00 HRK za iznos od 374.000.000.00 HRK na iznos od 1.566.400.660.00 HRK izdavaniem 1.700.000 redovnih dionica oznake PODR-R-A pojedinačnog nominalnog iznosa od 220,00 HRK.

Nakon provedenog povećanja u informacijskom sustavu SKDD-a, temeljni kapital Društva iznosit će 1.566.400.660,00 HRK i bit će podijeljen na 7.120.003 redovne dionice oznake PODR-R-A pojedinačnog nominalnog iznosa od 220,00 HRK.
