Re: Publication of results of the takeover offer regarding shares of the company ŽITO, Inc. - Notice

Pursuant to the provisions of the Capital Market Law and the Rules of the Zagreb Stock Exchange, the company PODRAVKA Inc., Ante Starčevića 32, Koprivnica, PIN: 18928523252 (hereinafter: PODRAVKA or assumer), publishes the results of the takeover offer for all of the shares of company ŽITO prehrambena industrija, Inc., Šmartinska cesta 154, 1000 Ljubljana, Slovenia (hereinafter: Žito Inc.) having ticker ZTOG and ISIN code SI0031108440.

Žito Inc. is the issuer of 355,792 ordinary, freely transferable shares on the name, issued in non-materiliazed form and registered at the central securities register with KDD - Centralni klirinško depotni družbi, Inc., Ljubljana. The stated shares are being traded on the official securities market – Ljubljana Stock Exchange (Ljubljanska burza d.d.)

Takeover offer lasted from October 23rd 2015 until 23rd of November 2015 at 12 p.m. The offer was accepted by 4,291 shareholders, which together were holders of 125,434 shares of company Žito Inc., wich represents 35.25% of all issued shares of Žito Inc.

PODRAVKA now holds, together with 183,386 shares of Žito Inc., which she had on the day of publishing takeover offer, a total of 308,820 shares of Žito Inc., which represents 86.80% of all issued shares of Žito Inc.

In accordance with the above as well as the conditions of the takeover offer and the prospectus, PODRAVKA declares that the takeover offer for shares of company Žito Inc. was successful.
