• Sub: Disclosure regarding gifting of shares of the Promoter Company among Promoters and Immediate Relatives
• Ref: Regulation 30 and 30A read with clause 5A to Para A of Part A of Schedule Ill of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July, 2023

This is to inform you that the Company received on 25th Jan, 2024 a letter dated 25th Jan, 2024 from the Promoter Company, M/s. Espouse Resonance Engineering Private Limited ("Promoter Company"), addressed to the Company in compliance of its obligation under Regulation 30 and 30A read with 5A to Para A of Part A of Schedule Ill of the SEBI LODR (as amended) and the aforementioned SEBI Circular.

The Company in compliance with its obligations under the aforesaid Regulation 30A read with the aforementioned 5A of the SEBI LODR (as amended) and the aforementioned SEBI Circular is under cover of this Letter disclosing the same to the BSE Limited and the National Stock Exchange of India Limited, respectively.

A copy of the said letter of M/s. Espouse Resonance Engineering Private Limited is enclosed and marked as Annexure-1.

The Promoters of the Company are Poddar family represented by Mr. Shiv Shankar Poddar; his wife, Mrs. Kusum Poddar and their immediate relatives. The Promoters hold 66,23,658 equity shares of the Company representing 62.43% of the voting rights in the Company.

The Promoters holding in the Company comprise of 21,20,766 equity shares representing 19.99% voting rights held by individual members and the balance 45,02,892 equity shares representing 42.44% voting rights held through our Promoter Company. Earlier, 45,02,892 equity shares representing 42.44% voting rights was held by M/s. GKS Logistics Private Limited. Consequent to a Composite scheme of arrangement approved by the Central Government through Regional Director, Southern Region, our Company was vested with the ownership of said 45,02,892 equity shares (42.44%). The Composite Scheme of Arrangement did not result in any changes of ultimate beneficial ownership or % of equity shareholding amongst the Promoters family as the % of equity shareholding in the Promoter Company mirrors the % of equity shareholding in M/s. GKS Logistics Private Limited.

All the necessary disclosure under applicable laws and SEBI regulations were made with the appropriate authorities including Stock Exchanges and SEBI within the stipulated time.

In order to provide for proper succession to the business of the Company as well as the ownership of the Promoter shareholding, the Promoter family has caused change of the ownership of the shares of the Promoter Company by means of gift amongst the immediate relatives. The shareholding of the Promoter Company before and after the aforesaid change is as under:
