PNE WIND AG announces possible changes in the Supervisory Board
Cuxhaven, December 9, 2014 - At today's meeting, the Supervisory Board
resolved to file an application in accordance with § 103 para. 3 AktG
(Stock Corporation Act) with the competent court for the removal of Mr.
Volker Friedrichsen from PNE WIND AG's Supervisory Board, unless he
voluntarily gives up his mandate in the short term.
The basis for this decision is that Mr. Volker Friedrichsen - the sole
shareholder of the Volker Friedrichsen Beteiligungs-GmbH - is exposed to a
permanent conflict of interest following the decision taken today to assert
claims for damages in connection with the acquisition of the shareholding
in WKN AG.
Another conflict of interest arises from the competing activities of
reconcept GmbH, Hamburg, whose sole shareholder is the Volker Friedrichsen
Beteiligungs-GmbH, according to Section 5.5.3 S.2 of the German Corporate
Governance Code.
Rejected were the proposed Supervisory Board resolutions to remove Mr.
Dieter K. Kuprian as Chairman of the Supervisory Board as well as the
resolution to send a request to the competent court to remove Mr. Dieter K.
Kuprian as a member of the Supervisory Board.
In the opinion of the Board of Directors, the aforementioned events in the
Supervisory Board will have no impact on the operational business of PNE
WIND AG and WKN AG.
