please refer to our Stock Exchange Announcement dated 26.03.2021 pursuant to Regulation 30 of the SEBI (Listing Regulation and Disclosure Requirement) Regulations,20l5 wherein the Company had informed regarding the decision of the Board of Directors to divest entire stake of 35oh (which includes 19.88% stake held by PNC Infra Holdings Limited, Wholly Owned Subsidiary of the Company) in Ghaziabad Aligarh Expressway Private Limited, an o'Associate" of the Company to Cube Highways and Infrastructure Pte Ltd ("Cube Highways").

In view of the same, please note that the Company has on 01.04.2021 entered into a Share Purchase Agreement and othei related transaction documents inter alia, with Cube Highways for sale of its ho"lding in Ghaziabad Aligarh Expressway Private Limited (GAEPL), an "Associate" of the Company.

The proposed transaction is subject to applicable regulatory and other approvals and certain conditions, more specifically laid down in the Share Purchase Agreement.

Details of the transaction as required under Regulation 30 of the SE,BI (Listing Obligation and Disclosure Requirements) Regulations, 2015, read with Circular No. CIR/CFD/CMD141Z}I5 dated 9th September, 2015 is as under:
