Appointment of Mr. Subhash Chander Kalia (DIN: 00075644) as Non-Executive Independent Director on the Board of PNC Infratech Limited

1. Reason for Change in Board

Appointment of Mr. Subhash Chander Kalia as Non-Executive Independent Director on the Board of Directors.

2.Date of Appointment and Term of Appointment

Shareholders in the 22"d Annual General Meeting of the Company have approved the appointment of Mr. Subhash Chander Kalia as an Independent Director, who shall hold office for a term of five consecutive years commencing fiom the date of the 22nd Annual General Meeting (AGM) of the Company.

3. Brief Profile

Mr. Subhash Chander Kalia holds a bachelor's degree in Arts from Punjab University and ^a master's degree in Political Science, with the distinction of standing first in the University from Guru Nanak Dev University and is also a Gold Medalist. He is also qualified CAIIB.

He has over 4l years of experience in the banking and finance sector and served incritical positions in various banks such as Yljaya Bank, Bank of Baroda, Union Bank of India as well as Chairman of Regional Rural Bank, Pratapgarh. Presently, Mr. Kalia is also serving as an external member of the Empowered Committee of the Reserve Bank of India on External Commercial Borrowing, as a member of the Governing Council of Bankers, Institute of Rural Development, Lucknow and as a member of Banking and Finance Committee of the Indian Merchant's Chamber, Mumbai.

Mr. Subhash Chander Kalia is not related to any other Director of the Company.

Mr. Subhash Chander Kalia does not hold any shares in the Company.
