Pursuant to Regulation 29 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, we wish to inform you that a meeting of the Board of Directors of PNB Housing Finance Limited (the “ Company ”) is scheduled to be held on Wednesday, August 19, 2020 to consider fund raising by the Company, and the mode thereof, by issue of Equity Shares and/or other securities through any permissible modes, as may be considered appropriate, subject to such approvals as may be required.

Pursuant to the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, as amended, and the Insider Trading Policy of the Company, the trading window for dealing in the securities of the Company is closed from August 14, 2020 to August 21, 2020 for the Designated Persons.
