1. 25,500 of these shares are subject to vesting. 1,750 of the shares vested on January 15, 2014. 13,250 of the shares will vest depending on the satisfaction of certain performance criteria. Of the remaining 10,500 shares, 3,000 will vest on May 4, 2014, and 7,500 shares will vest in two equal installments every three months thereafter.
