PLANETEL S.P.A. CONCLUDES THE MERGER OF SUBSIDIARIES SERVIZI INTERNET S.R.L. AND S.I.T.I.S. S.R.L.
Treviolo (Bergamo), 11 October 2021 – Planetel S.p.A., ("the Company" or "Planetel"), the parent company of the group that bears its name, operating nationwide in the telecommunications sector, listed on the AIM Italia multilateral trading system organised and run by Borsa Italiana S.p.A., announces, further to its previous communications on 21 June and 30 June 2021, that the deed of merger by incorporation of its wholly-owned subsidiaries Servizi Internet S.r.l. and S.I.T.I.S. S.r.l. was signed today.
As already stated, the Merger was approved by the General Meetings of the Merged Companies and by the Board of Planetel on 30 June 2021, and forms part of the broader corporate reorganisation of the Group headed by Planetel, undertaken to simplify its structure and generate greater benefits from any operating, administrative and corporate synergies, and also enable the achievement of economies of scale, since the companies taking part in the Merger operate synergistically on the same market.
The Merger will come into effect from 1 November 2021 for the intents and purposes of articles 2504 and 2504-bis of the Italian Civil Code, while the accounting and fiscal effects will be backdated to the first day of the current financial year, 1 January 2021.
Since the Company holds the entire share capital of the Merged Companies, it has not been necessary to increase the share capital of Planetel, or to make any changes to the number and characteristics of the shares in circulation, or to the Company's Articles of Association.
The deed of merger, regarding which the public will be duly informed, will be lodged for registration with the Bergamo Register of Companies within the legal term of 30 days from today's date.
