INTEGRATION STATEMENT BINDING AGREEMENT FOR THE ACQUISITION OF DIRETE S.R.L.

Treviolo, 22 November 2021 – Planetel S.p.A. ("Planetel" or the "Company"), the parent company of a group operating in the telecommunications sector at a national level, listed on Euronext Growth Milan (symbol: PLT), a multilateral trading system organized and managed by Borsa Italiana S.p.A., in addition to the press release issued on November 18, 2021 regarding the signing of the binding agreement for the acquisition of Direte S.r.l. announces that:

• the value of production for 2020 was approximately € 5.1 million;
• sales revenues for the year 2020 amounted to approximately € 5 million;
• the Net Financial Position at the same date, normalized also to exclude the effects due to the mutual nature of Direte SC, not applicable to the newco Direte s.r.l., was cash positive by € 0.311 million;
• EBITDA at the same date, normalized in order to exclude also the effects due to the mutual nature of Direte SC, not applicable to the newco Direte s.r.l., was € 0.464 million.
