("Company") discloses the following inside information, publication of which was delayed on 11 June 2024:"ORLEN S.A. ("ORLEN", "Company") informs that on 11 June 2024 the Company's Management Board approved the disposal of own shares, issued by ORLEN in connection with the merger of the Company with LOTOS Group S.A. and with Polskie Górnictwo Naftowe i Gazownictwo S.A. that due to the adopted rules of shares swap ratio described in the merger plans of the companies were not handed over to the shareholders, in the amount of 7.220 of series E shares and 26.938 of series F shares ("Shares"). The disposal of Shares will be ordered in the brokerage firm that maintains the ORLEN securities account at the current market price. The total number of Shares for disposal amounts to 34.158 and presents ca. 0,003% of the ORLEN share capital.According to the Management Board's decision the transaction of the Shares disposal shall be made in the next three months.The decision requires the consent of the Company's Supervisory Board, for which the Management Board will immediately apply."
