("Company") announces that on 22September 2025 the Company's Supervisory Board appointed:- MrSławomir Jędrzejczyk, with effect on the start of the day of 24September 2025, for the position of Vice-President of the ManagementBoard, Financials,- Mr Sławomir Staszak, with effect on the start ofthe day of 29 September 2025, for the position of Member of theManagement Board, Energy and Energy Transitionfor the common term ofoffice, which ends on the date of the Ordinary Shareholders Meeting thatwill approve the Company's financial statement for 2025.MrSławomir Jędrzejczyk gained nearly 30 years of experience in companieslisted on Warsaw Stock Exchange.In 2008-2017 Vice-chairman of theManagement Board and CFO of PKN ORLEN S.A., as well as Vice-Chairman ofthe Supervisory Board of Unipetrol a.s., a Member of the ManagementBoard of Orlen Lietuva, and a Member of the Board of Directors of OrlenUpstream Canada. His main responsibilities included implementingstrategy geared towards increasing value, building relations withcapital market, providing financing, and increasing cash flows throughoperating excellence. In charge of treasury, controlling, accounting,supply chain management, investor relations, M_A, and IT.In2017-2025 mentor, investor and independent non-executive Board Member.Earlier he served as CEO of Emitel. He worked as well forTelekomunikacja Polska, ORFE, Impexmetal and Price Waterhouse. Graduatedfrom London Business School - Senior Executive Program, Association ofChartered Certified Accountants ACCA and Łódź University of Technology -Faculty of Electronics.Mr Sławomir Jędrzejczyk submittedstatement that he will not be involved in any activity competitive withORLEN S.A. and is not and will not be partner of any competitive civillaw partnership, partnership, capital company, is not member of anyboard of a competitive capital company. He also stated that he is not onthe list of insolvent debtors kept on record on the National CourtRegister Act.Mr Sławomir StaszakMember of theManagement Board of Energa S.A. since 20 April 2024. He has extensiveand many years of experience in the energy sector. He is the Chairman ofthe Supervisory Board of Energa Operator S.A., Vice-Chairman of theSupervisory Board of Energa Obrót S.A., Chairman of the SupervisoryBoard of Baltic Offshore Service Solution sp. z o.o. and Vice-Chairmanof the Management Board of the Polish Electricity Association. MrSławomir Staszak has many years of experience in managing, developingand implementing complex ownership supervision systems in commercialcompanies and holding groups, as well as in broadly defined corporateand holding company law and capital market law. In his career, he hasparticipated in the implementation of numerous business projects forvarious entities, including co-founding internationally operatingholding groups, among others for entities in the energy and portindustries. He has managed international teams and participated inbuilding strategies for multi-million business projects. He has alsoprovided business consulting services to domestic and foreign commerciallaw entities, among others those in the European Union, the UnitedStates and Asia, including managing the implementation of salesstrategies for foreign markets, particularly in Asia. In addition to hisextensive legal practice, his past professional experience has allowedhim to hone his supervisory and management skills, including thoserelated to managing complex teams. Mr Sławomir Staszak has served on themanagement and supervisory boards of many companies and foundations,including Zarząd Morskiego Portu Gdynia S.A. He is a law graduate of theUniversity of Gdańsk, and has been practicing as a legal counsel since2014.Mr Sławomir Staszak submitted statement that he will not beinvolved in any activity competitive with ORLEN S.A. and is not and willnot be partner of any competitive civil law partnership, partnership,capital company, is not member of any board of a competitive capitalcompany. He also stated that he is not on the list of insolvent debtorskept on record on the National Court Register Act.
