Changes in the Management Board of ORLEN S.A.Regulatory announcementno 14/2024 dated 6 February 2024ORLEN S.A. ("Company") announcesthat on 6 February 2024 the Minister of the State Assets, acting onbehalf of the shareholder the State Treasury, according to § 9 item 1point 3 of the Company's Articles of Association appointed effectivetoday Mr Witold Literacki to the ORLEN S.A. Management Board. At thesame time the Company's Supervisory Board on today meeting appointed MrWitold Literacki with effect from 6 February 2024 as acting President ofthe Company's Management Board.Moreover the Company'sSupervisory Board dismissed following persons from the Management Board:-Mr Adam Burak,- Mr Krzysztof Nowicki,- Mr RobertPerkowski,- Mr Piotr Sabat,- Ms IwonaWaksmundzka-Olejniczak.At the same meeting the Company'sSupervisory Board decided to delegate with effect from 7 February 2024the following members of the Company's Supervisory Board for temporaryacting as members of the Company's Management Board, by the time ofappointment of the Management Board members for that positions,providing that no longer than for three months:- Mr KazimierzMordaszewski,- Mr Tomasz Sójka,- Mr Tomasz Zieliński.MrWitold LiterackiMr Witold Literacki is a graduate of the Universityof Silesia, Faculty of Social Sciences, from which he graduated in 1994and an MBA from the Lublin Business School in cooperation with theUniversity of Central Lancashire in the UK in 2006. An expert in thefield of finance and taxes. He has been professionally involved in thefuel and energy industry for many years. He gained managerial experiencein both foreign and Polish companies, including PKN ORLEN.From 2022to 2023, he served as financial director at PERN SA. Prior to that, hewas employed as financial director at Warszawskie Zakłady MechanicznePZL- WZM w Warszawie SA from 2020 to 2022. From 2008 to 2020, he wasdirector of the tax office at PKN ORLEN SA. From 2007 to 2008- taxmanager at RWS Stoen SA. From 1999 to 2007- senior manager for taxcontrol at Carrefour Polska Sp. z o.o.. From 1997 to 1999, he wasemployed as a consultant by Arthur Andersen Sp. z o.o.. From 1991 to1997, he was an inspector in the tax control department of the TaxOffice in Zabrze.Mr Kazimierz MordaszewskiKazimierzMordaszewski is a law graduate of the Nicolaus Copernicus University inToruń, and also graduated from the Catholic University of Lublin.Hewas active in the Independent Students' Union and the Union ofDemocratic Youth. He continued his activities in the democraticopposition in the People's Republic of Poland.He gained professionalexperience as a trainee judge and then as a trainee legal advisor in theLegal Advisors Group, later working as an academic teacher at theBiałystok branch of the Faculty of Law at Warsaw University. In 1989, hequalified as a legal advisor.In 1990, he became involved in theprocess of creating new state security structures, taking the positionof office director at the State Protection Office.From 1997 to 2001,he served as Charge d'affaires at the Polish Embassy in the UAE, alsobeing accredited to the State of Qatar. Upon his return to the country,in 2002, he opened a law practice within the partnership of KMMGMordaszewski _amp; Glinski attorneys and legal advisors.In 2006, hejoined the service of the Internal Security Agency, where he wasDirector of the Legal Bureau until 2012, and Deputy Head of the Agencyfrom 2012 to 2015.Kazimierz Mordaszewski was also a member of theSupervisory Board of PHZ Cenzin Sp. z o.o. and a member of the Board ofthe National Research and Development Center from 2010 to 2014.Hecurrently serves as a department director at the Ministry of StateAssets.Mr Tomasz SójkaProfessor of legal sciencesworking at the Adam Mickiewicz University in Poznan. Advocate. Hespecializes in corporate law, capital market and new technologies.Tomasz Sójka's scientific output includes more than a hundredpublications in the above-mentioned field. He is the author of 4monographs on commercial law and the editor and co-author of a leadingcommentary on capital market law. He also participated in thelegislative process of many acts in the field of business law. Heremained a member of the European Corporate Governance Institute inBrussels for many years. He was a member of the Board of the WarsawStock Exchange, where he participated in the work on the Good Practicesof Companies Listed on the WSE. For 15 years he was managing partner ofa major Polish law office. In his practice, he provided advisoryservices for a number of capital market transactions, including mergersand acquisitions (M_amp;A). He advised on the implementation of disclosureobligations and compliance with corporate governance principles. Hisadvisory work was directed primarily to public companies, particularlyin the energy and financial sectors. He has also participated in manycourt and arbitration disputes related to conflicts between shareholdersof major capital companies, also as an arbitrator. He graduated from theFaculty of Law and Administration of Adam Mickiewicz University inPoznan. He was a scholarship holder at Oxford University, De PaulUniversity in Chicago, the TMC Asser Institute in The Hague and the _#1052;_#1072;_#1093;Planck Institute in Hamburg.Mr Tomasz ZielińskiAnexpert in the chemical sector with more than 20 years of experience intop managerial, management and scientific-academic positions. He builthis professional experience in the most important companies in thechemical and refining and petrochemical sector in Poland and CentralEurope (including Orlen S.A., Anwil S.A., Grupa Azoty Zakłady Chemiczne_quot;Police_quot;, Orlen Unipetrol a.s, Spolana s.r.o.), in strategic andbusiness consulting and at the Warsaw University of Technology. For morethan a dozen years, he has represented the interests of the domesticchemical industry at home and abroad and sits on the boards of numerousnational and international business and industry organizations.Since2016, he has been a member of the National Association Board (NAB) ofthe European Chemical Industry Council in Brussels (CEFIC), where herepresents the interests of 7 countries in the Central Europe Cluster(Poland, Slovakia, Hungary, Czech Republic, Romania, Bulgaria, Croatia).He has also served on the Board and Steering Committee of the EuropeanChemical Employers Group in Brussels (ECEG) for almost 10 years. He isalso a member of the Presidium of the Committee on Chemistry at thePolish Academy of Sciences, as well as the Presidium of the Council andthe Committee on Climate and Energy Policy at the National Chamber ofCommerce. In addition, he sits on the Boards of the Łukasiewicz NetworkInstitutes - Institute of Industrial Chemistry and Łukasiewicz -Institute of New Chemical Syntheses. Member of the Supervisory Boards ofcompanies at home and abroad. Member of economic councils of Polishtechnical universities, program councils, scientific councils andindustry associations. Author of numerous scientific publications andconference speeches.In 2003, he received a doctoral degree inchemical technology from the Prof. I. Mościcki Institute of IndustrialChemistry in Warsaw. He graduated with a degree in Chemical Technologyfrom the Faculty of Construction, Mechanics and Petrochemistry of theWarsaw University of Technology, Plock Branch, and with a postgraduatedegree in Financial Management and Marketing from the same university.In addition, he obtained a Master of Business Administration (MBA)degree from the University of Illinois at Urbana-Champaign incooperation with the Lublin University of Technology. Among otherthings, he completed the Professional Development Program: StrategicBusiness Management at Harvard University Extension School and theStrategies for Sustainability course at Stanford University.SinceJune 2013 he has been President of the Board of the Polish Chamber ofChemical Industry - the most important institution representing thePolish chemical industry in Poland at the national and internationalforum.Mr Witold Literacki submitted statement that he is notinvolved in any activity competitive with ORLEN S.A. and is not apartner of any competitive civil law partnership, partnership, capitalcompany, is not a member of any board of a competitive capital company.He also stated that he is not on the list of insolvent debtors kept onrecord on the National Court Register Act.All members of theORLEN Supervisory Board delegated today for temporary acting as membersof the Company's Management Board submitted statements that they are notinvolved in any activity competitive with ORLEN S.A. and are notpartners of any competitive civil law partnerships, partnerships,capital companies, are not members of any boards of competitive capitalcompanies. They also stated that they are not on the list of insolventdebtors kept on record on the National Court Register Act.
