1. Notice of Postal Ballot/Remote E-Voting for seeking members approval for the appointment of Dr. Abhilasha Hattangdi [DIN: 09782680], as an Independent Woman Director of the Company.

2. Decided to keep Friday, December 16, 2022 as the cut-off date for determining the eligibility of the members entitled to vote by postal ballot / remote e-voting and for sending notice.

3. Appointed Mr. Sahib Chauhan , Practicing Chartered Accountant, (Membership No. 146408), Mumbai to act as scrutinizer to conduct the postal ballot process in a fair and transparent manner.

4. Appointed National Securities Depository Limited(“NSDL”) as agency to facilitate remote e-voting to the members during the postal ballot process.

5. Accepted the resignation of Mr. Prakashchand Khasgiwala (DIN:06972949) as Independent Director with effect from 12[th] December 2022.
