Announcement for the distribution of own shares of Piraeus Financial Holdings

"Piraeus Financial Holdings S.A." (hereinafter the "Company") informs the investment community that, in implementation of the decision of the Annual General Meetings of the shareholders of the Company dated 27.06.2023 and 14.04.2025 of the respective delegated resolutions of the Board of Directors dated 19.10.2023 and 23.10.2025, for the approval of the Terms of Stock Award Plans to executives and employees of the Company and its affiliated companies (the "Beneficiaries"), 291,874in total own, common registered voting shares of the Company were distributed on 04.12.2025 free of charge to 39 Beneficiaries, through over-the-counter transactions.The above distribution of own shares was carried out under the applicable variable remuneration schemes and after verifying that the conditions thereof have been fulfilled. The total value of the above shares amounted to €2,075,224, based on the closing price of €7.11 of the Company's share on 04.12.2025.

The above shares were acquired in the context of the Company's own share buyback programs, which were approved by the General Meetings of Shareholders on 27.06.2023 and on 23.09.2025.

After the aforementioned distribution,the Company no longer holds directly any own shares.

The Beneficiaries, as Material Risk Takers (MRTs), are subject to a retention obligation of such shares for a period of one year from the date of their acquisition.
