29 October 2014 Pendragon PLC ("the Company") Additional Listing & Total Voting RightsA listing application has been made today by the Company for 1,767,897 ordinaryshares of 5 pence each in the Company to be admitted to the Official List ofthe UK Listing Authority and to trading on the London Stock Exchange on 3November 2014. The shares will be issued fully paid and will rank pari passuin all respects with the existing issued ordinary shares of the Company. Theshares are anticipated to be admitted to listing on 3 November 2014. Thisfigure represents shares issued pursuant to the exercise of warrants on 27October 2014 that were issued to the Company's lenders as part of therefinancing of bank facilities in 2009.Following the issue of 1,767,897 ordinary shares and their admission totrading, the Company has 1,448,873,792 ordinary shares of 5 pence each inissue, representing a total ordinary share capital of £72,443,689.60. Thevoting rights attached to the ordinary shares are on the basis of one vote pershare, representing total voting rights of 1,448,873,792.
