	Die Pierer Konzerngesellschaft
	mbH (übernehmende
	Gesellschaft) ist unmittelbare
	Alleingesellschafterin der Pierer
	Industrie AG (übertragende
	Gesellschaft), sodass die Pierer
	Konzerngesellschaft mbH gemäß
	§ 17 Z 5 SpaltG iVm § 224 Abs 1
	Z 1 AktG von der Gewährung von
	Anteilen absehen muss. Aus
	Anlass der Spaltung erfolgte
	daher weder eine Gewährung
	von Anteilen an der Pierer
	Konzerngesellschaft mbH noch
	eine Kapitalerhöhung. Aus
	diesem Grund sind auch die
	Vereinbarungen nach § 2 Abs. 1
	Z 3, 5 und 6 SpaltG nicht
	erforderlich. Bare Zuzahlungen
	wurden nicht geleistet.
