Unternehmens Invest Aktiengesellschaft ('UIAG') announces that it acquired
a 50% shareholding in CROSS Informatik GmbH on November 28, 2011.

The share of voting rights of UIAG in BRAIN FORCE HOLDING AG, which can be
indirectly exercised via CROSS Informatik GmbH, exceeded the threshold of
5%, 10%, 15%, 20%, 25%, 30%, 35%, 40%, 45% and 50% on November 28, 2011
(number of voting rights: approx. 53.58%; 8,243,448 no par value bearer
shares). The share of voting rights held by Knünz Invest Beteiligungs GmbH
('Knünz Invest') in BRAIN FORCE HOLDING AG, which can be indirectly
exercised via UIAG and CROSS Informatik GmbH, exceeded the threshold of 5%,
10%, 15%, 20%, 25%, 30%, 35%, 40%, 45% and 50% on November 28, 2011 (number
of voting rights: approx. 53.58%; 8,243,448 no par value bearer shares).

The voting rights in BRAIN FORCE HOLDING AG held by Mr. Rudolf Knünz and
Knünz GmbH are no longer indirectly exercised via Pierer Invest
Beteiligungs GmbH, CROSS Industries AG and CROSS Informatik GmbH since
November 28, 2011, but indirectly via Knünz Invest, UIAG and CROSS
Informatik GmbH, and thus continue to exceed the threshold of 50%.

The voting rights in BRAIN FORCE HOLDING AG held by CROSS Industries AG,
Pierer Invest Beteiligungs GmbH, Pierer GmbH and Mr. Stefan Pierer continue
to exceed the threshold of 50%.
