Sub: Intimation under Regulation 30 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015

Furter to our intimation dated 24[th] November 2021, our wholly owned subsidiary namely Pidilite Ventures Pvt. Ltd. (PVPL) (Formerly known as Madhumala Ventures Pvt. Ltd.), has agreed to make further investment of Rs. 1.50 crore (Rupees One Crore Fifty Lakhs only) in Constrobots Robotics Private Limited (Constrobot), through subscription to equity shares, consequent to which, PVPL’s stake in Constrobot shall remain less than 35% on a fully diluted basis. The nature of subscription will be cash. The investment is being made at a mutually agreed pre-money enterprise valuation, which has not been disclosed herein due to reasons of confidentiality.

The subscription of shares of the Investee Company is not a related party transaction. The promoter/ promoter group of PVPL have no interest in the Investee Company.
