Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable provisions of law, we wish to inform that the Board of Directors of Pidilite Industries Limited ("Company") at its meeting held on 24[th] January, 2023, has interalia, based on the recommendation of the Nomination and Remuneration Committee and subject to the approval of the Members of the Company, approved re-appointment of Mr. Piyush Pandey (DIN: 00114673) as Non-Executive Independent Director for a second consecutive term of 5 years commencing w.e.f. 11[th] April, 2023 up to 10[th] April, 2028.

Mr. Piyush Pandey satisfies the criteria of independence prescribed under the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. In accordance with the circular dated 20[th] June, 2018, issued by the Stock Exchanges, we hereby confirm that Mr. Pandey, is not debarred from holding office of Director by virtue of any order passed by SEBI or any other such authority. Mr. Piyush Pandey

Mr. Piyush Pandey has a degree of MA from St Stephen's College, Delhi and Post Graduate degree in History from the University of Delhi. Mr. Pandey is the Chief Creative Officer Worldwide and Executive Chairman of Ogilvy & Mather Pvt. Ltd. In 2016, he was honoured with the 'Padma Shri'. He was the first Asian to chair the Cannes Jury in 2004. He was awarded the lifetime achievement award by Clio, New York in 2012 and by the Advertising Agencies Association of India in 2010. Mr. Piyush Pandey has been a brand ambassador for Indian advertising at many international and India forums.
