Sub: Changes in Directors

Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable provisions of law, we wish to inform that the Board of Directors of Pidilite Industries Limited ("Company") at its meeting held today, has interalia, approved following:

1. Resignation of Mr. Debabrata Gupta as Whole Time Director of the Company, (designated as Director-Operations) w.e.f. 9[th] November, 2022. Mr. Gupta will continue with the Company in another role and will retire from the Company in February, 2023.

2. Appointment of Mr. Joseph Varghese as an Additional Director and also as a Whole Time Director of the Company, (designated as Director-Operations) w.e.f. 9[th] November, 2022, subject to approval of shareholders of the Company.

3. Appointment of Mr. Sandeep Batra, Chief Financial Officer of the Company (CFO) as an Additional Director and also as a Whole Time Director of the Company (designated as Executive Director-Finance), w.e.f. 9[th] November, 2022, subject to approval of shareholders of the Company. Mr. Batra will continue to be the CFO of the Company.

The above mentioned appointments have been made based on the recommendation of the Nomination and Remuneration Committee.

Mr. Joseph Varghese and Mr. Sandeep Batra are not related to any Director who are on the Board of the Company as on the date of their appointment. Brief Profile of Mr. Joseph Varghese and Mr. Sandeep Batra are attached.

Mr. Joseph Varghese

Mr. Joseph Varghese has a multi-industry experience with a successful career span of 27 years with noted corporates like BASF, Castrol, & AkzoNobel in various leadership roles of Manufacturing & Supply Chain. He is a Post Graduate diploma in Supply Chain Management, CII Institute of Logistics & BSc. Tech., Chemical Technology (Specialization in Intermediates & Dyestuffs) from Institute of Chemical technology, Mumbai. His rich experience will certainly enrich Company's Manufacturing Operations & Supply Chain Function.

Mr. Sandeep Batra:

Mr. Sandeep Batra is a qualified Chartered Accountant and Company Secretary. He has had a rich career of 34 years spanning organizations such as Crompton Greaves and ICI India. He has also worked earlier at Pidilite Industries as Director Finance for 6 years between 2009 and 2015. In his last role, Sandeep was Chief Financial Officer, Crompton Greaves Consumer Electricals.
