Sub: Change in Directors

Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable provisions of law, we wish to inform you based on the recommendations of the Nomination and Remuneration Committee, the Board of Directors of Pidilite Industries Limited ("Company'), at its meeting held today, has considered and approved the following:

• 1. Resignation of Mr. Sabyaschi Patnaik as a Whole Time Director of the Company, (designated as Director-Operations) with effect from the close of business hours of 29th February, 2020. Mr. Patnaik has indicated that he is planning to pursue his other interest.
• 1. Appointment of Mr. Debabrata Gupta as an Additional Director and also as a Whole Time Director of the Company, (designated as Director-Operations) w.e.f. r March, 2020, subject to approval of shareholders of the Company.

Brief Profile of Mr. Debabrata Gupta

Mr. Debabrata Gupta has a multi-industry experience of over 30 years with noted corporates like Hindustan Unilever Limited, Coca Cola India, Reckitt Benckiser (India) Private Limited, USV Private Limited and UPL Limited. An alumni of IIT Kharagpur, Debabrata has had a long and successful career which will bring a very rich suite of experience that will certainly enrich Company's Manufacturing Operations Function. Mr. Debabrata Gupta is not related to any other Director of the Company and is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.
