Photon Energy N.V. — Share Issue/Capital Change 2020

The Management Board of Photon Energy N.V. (“Company") informs that on 30 December 2020 it received an information that on 28 December 2020 the National Securities Depository (Krajowy Depozyt Papierów Wartościowych w Warszawie S.A.) (“KDPW") conditionally registered 10,000,000 (ten million) of the Company’s series A shares with a nominal value EUR 0.01 (one euro cent) (the “Shares") each share under the ISIN code NL0010391108.

KDPW registered the Shares under the condition that the Shares are introduced to trading on the regulated market, the same as the other shares in the Company, with the same ISIN code, and that the Shares are registered by EUROCLEAR BANK SA / N.V. under this ISIN code on the registration account kept for KDPW by that foreign depository.

The registration of the Shares will commence within 3 (three) days from the receipt of the decision by KDPW to introduce the Shares to trading on the regulated market, to which the other Company’s shares are introduced, but not earlier than on the date indicated in the decision as the day of introducing the Shares to trading on the regulated market.

Information on the registration of the Shares will be provided in the form of an operational message from KDPW.
