– Annual General Meeting change of venue and other matters

Change of AGM Venue

Phoslock Environmental Technologies Limited (ASX: PET) advises shareholders that there is a change of venue for the upcoming Annual General Meeting on May 25. The venue change has been made to accommodate additional attendees and to meet COVID related restrictions. Given this change, the Company has also elected to defer the start of the meeting by 15 minutes.

Election of Mr Barry Sechos as a Director of the Company (Business item 3)

The Company wishes to note that Mr Barry Sechos does not qualify as an Independent Director, should he be elected at the AGM. It is noted that Mr Sechos is a Director of Link Traders (Aust) Pty Ltd, which is a substantial shareholder in PET. Link Traders (Aust) Pty Ltd is controlled and owned by Mr Laurence Freedman AM. At the time of this announcement, we also note that Mr Sechos does not have a notifiable interest in any shares held by Link Traders (Aust) Pty Ltd.

Mr Sechos has been determined to be a suitable candidate based on the Company’s robust board appointment process, which includes appropriate evaluations of the candidate’s suitability and independent checks of the candidate’s character and experience. While Mr Sechos will not qualify as an Independent Director of the Company, he will act in the capacity of a Non-Executive Director and the Board is satisfied that he will carry out all the legal and other obligations of confidentiality and non-disclosure of Company business to the highest and appropriate standards.

Appointment of Auditor of the Company (Business item 6)

As detailed in the Notice of Meeting, KPMG has advised the Company that it wishes to resign as PET’s auditor, subject to ASIC consenting to the resignation in accordance with section 329(5) of the Corporations Act. After an extensive search, the Board has selected ShineWing Australia (SW) to replace KPMG as the Company’s auditor. ShineWing Australia (SW) has recently completed a rebranding exercise and details about the firm can now be found at https://www.sw-au.com/
