Phoenix Group Holdings plc (the "Company")

Exercise of nil-cost options under the Phoenix Group Holdings plc Long Term Incentive Plan (the "LTIP") and the Deferred Bonus Share Scheme (the "DBSS")

The Company was today informed that on 9 April 2024, the following Person Discharging Managerial Responsibilities "PDMR" exercised their nil-cost options over ordinary shares of 10 pence each in the Company under the LTIP granted on 21 March 2018 and 11 March 2019 and the DBSS granted on 12 March 2021.

LTIP

Vesting of these options was subject to criteria relating to the Company's performance over a three-year performance period to 31 December 2020 and 31 December 2021 and the options were then subject to a two-year holding period following the end of the performance period. The number of options acquired includes the dividend equivalent shares where the whole award has been exercised.

Vesting of these options was subject to a three-year holding period in respect of the deferred bonus for the 2020 financial year . The number of options acquired relate to the dividend equivalent shares allocated at vest.
