Phoenix Group Holdings plc (the "Company")

Exercise of nil-cost options under the Phoenix Group Holdings plc Long Term Incentive Plan (the "LTIP") and the Deferred Bonus Share Scheme (the "DBSS")

The Company has today been informed that on 2 April 2024, the following Persons Discharging Managerial Responsibilities "PDMRs" exercised their nil-cost options over ordinary shares of 10 pence each in the Company under the LTIP and DBSS granted on 11 March 2019 and 12 March 2021 respectively. 

LTIP

Vesting of these options was subject to criteria relating to the Company's performance over a three-year performance period to 31 December 2022 and the options were then subject to a two-year holding period following the end of the performance period. The number of options acquired includes the dividend equivalent Shares which participants receive upon exercise. The options become exercisable for up to five-years with effect from 11 March 2024.

DBSS

Vesting of these options was subject to a three-year holding period in respect of the deferred bonus for the 2020 financial year to 31 December 2022. The number of options acquired includes the dividend equivalent Shares which participants receive upon exercise. The options become exercisable for up to six-months with effect from 12 March 2024.
