Phoenix Group Holdings plc (the "Company")

A listing application, as well as a block listing application, have been made for 74,227 and 1,000,000 Ordinary Shares of 10 pence each respectively in the Company and are to be admitted to the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange. The admissions are expected to be effective on 28 June 2022.

The shares under the listing application have been allotted in accordance with the rules of the Company's Sharesave Scheme.  They have been issued fully paid and rank pari passu in all respects with the existing issued Ordinary Shares of the Company.
