Phoenix Group Holdings plc (the "Company")

Exercise of nil-cost options under the Phoenix Group Holdings plc Long Term Incentive Plan (the "LTIP")

The Company announces that on 31 March 2023 the following Person Discharging Managerial Responsibilities "PDMR" exercised the dividend element of their nil-cost options over ordinary shares of 10 pence each in the Company under the LTIP granted on 13 March 2020. The award element of the LTIP was exercised on 22 March 2023.    

LTIP

Vesting of the original award was subject to criteria relating to the Company's performance over a three-year performance period to 31 December 2022. Claire Hawkins was granted this award when not a PDMR with no additional two-year holding period applied. The options became exercisable for up to seven-years with effect from 13 March 2023.
