Item 7.01 Regulation FD Disclosure.

On May 4, 2021, Phillips Edison & Company, Inc. (the “Company”) issued a press release announcing its results for the quarter ended March 31, 2021 and announcing an updated estimated value per share (“EVPS”) of its common stock. A copy of that press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. The Company will host a stockholder update conference call and presentation on Wednesday, May 12, 2021, at 11:00 a.m. Eastern Time, during which management will discuss the first quarter results, provide commentary on business performance, and discuss the Company's updated EVPS.
