14 February 2020 Oslo, Norway: Reference is made to previous announcement by PGS

ASA (or the "Company") in respect of the private placement (the "Private

Placement") of 48,627,000 new shares ("New Shares") in the Company, as published

on 22 January 2020.

The share capital increase pertaining to the Private Placement has today been

registered with the Norwegian Register of Business Enterprises (Nw.

Foretaksregisteret). Following the registration, the registered share capital of

the Company is NOK 1,161,620,988 comprising of 387,206,996 shares, each with a

nominal value of NOK 3.00. Each share carries one vote at the Company's general

meetings.
