In connection with the current report no 1/2017 dated January 18, 2017(the "Report"), the Management Board of PGE Polska Grupa EnergetycznaS.A. (the "Company") discloses that on January 20, 2017, in connectionwith fulfilment of conditions precedent from the investment agreementconcluded on January 18, 2017 (the "Investment Agreement"), the Companyaccepted the offer submitted by the management board ofPolimex-Mostostal S.A. ("Polimex") for acquisition in private placementof 37,500,000 series T ordinary bearer shares with a nominal value ofPLN 2 each issued by Polimex with the issue price amounting to PLN 2 forone share and with the total issue price of PLN 75,000,000.

In addition, the Company discloses that in result of the execution ofthe agreement with SPV Operator sp. z o.o. ("SPV Operator"), on January20, 2017, in connection with fulfilment of conditions precedentindicated in the Investment Agreement, the Company acquired 1,500,001shares of Polimex from SPV Operator.
