Conditional approval of Polimex Mostostal S.A. and Polimex Energetykasp. z o.o. consortium's offer for construction of gas and steam CHPplant in Siechnice (New Czechnica CHP plant)

The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE"), withreference to the current report no. 2/2021 of the subsidiary ZespółElektrociepłowni Wrocławskich KOGENERACJA S.A., discloses that theManagement Board of Zespół Elektrociepłowni Wrocławskich KOGENERACJAS.A. (the "Company") on March 1, 2021 has decided on:

• conditional approval of selection of the offer by consortiumconsisting of Polimex Mostostal S.A. (Consortium Leader) and PolimexEnergetyka sp. z o.o. (Consortium Partner) submitted in the procurementprocedure titled "Turn-key construction of CCGT combined heat and powerplant for Zespół Elektrociepłowni Wrocławskich KOGENERACJA S.A. inSiechnice",

• giving consent for conditional signing of the agreement with the abovementioned consortium.

The consent will come into force and the agreement will be signed uponfulfilment of certain conditions, including granting by the ERO aco-generation individual premium to the Company for unit New CzechnicaCHP plant, on the ground of the Act of December 14, 2018 on promotion ofelectricity from highly-efficient co-generation and after obtainingnecessary corporate approvals, including inter alia the consent by theGeneral Meeting.

The value of the offer for the construction of the CHP plant amounts toapproximately PLN 1 159 million net and the related service agreement toapprox. PLN 118 million net.
