Management Board of PGE Polska Grupa Energetyczna S.A. proposesdistribution of profit for 2015

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company") discloses that on May 24, 2016 it decided to address theCompany's Annual General Meeting with a motion for approval of proposeddistribution of net profit for 2015, proposed dividend date and proposeddividend payment date.

The Management Board of the Company decided to propose a distribution ofnet profit for 2015 in accordance with the applied dividend policy andproposes a dividend for shareholders of PLN 0.92 per share, i.e. totalamount of PLN 1,720,179,962.68.

The proposed dividend date is September 23, 2016 and the proposeddividend payment date is October 14, 2016.

Legal ground: Art. 56 section 1 point 1 of the Act on public offering,conditions governing the introduction of financial instruments toorganised trading, and public companies (Dziennik Ustaw of 2009, no 185item 1439).
