Initial interest in buying all shares in the company PGE EJ1.

The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE")notifies that on November 28, 2018 the Management Board of PGE expressedinitial interest in purchasing all shares in the company PGE EJ1 sp. zo.o.

PGE EJ1 sp. z o.o. is a company responsible for preparation andrealization of investment involving construction and exploitation ofPoland's first nuclear power plant.

PGE aims at operational and costs restructuring of the target company soas the integration of its activities within the PGE Group.

The execution of transaction will be possible after the preparation ofvaluation by the independent adviser and after obtaining corporateapprovals from all concerned parties.

Currently PGE holds 70% of shares in PGE EJ1 sp. z o.o.
