Submission of new offer with partners for acquisition of EDF assets inPoland

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company"), in connection to the current report no. 55/2016 datedSeptember 16, 2016, discloses that on November 30, 2016 the Companytogether with ENEA S.A., Energa S.A. and PGNiG Termika S.A. (the"Business Partners") jointly submitted to EDF International SAS ("EDF")a new offer for purchase of shares and stakes in EDF subsidiaries inPoland, possessing conventional generation assets and operating aservice business.

Submission of the new offer by the Business Partners took place inconnection with the forthcoming termination of validity date of theoffer submitted on September 16, 2016.

The new offer will be valid for 90 days from the submission date and isdependent, among others, on results of due diligence which will be thebasis for the further decisions about the potential transaction.
