Information about signing of a letter of intent regarding potentialinvestment in Polimex-Mostostal S.A. and submission of a request to theantimonopoly office

The Management Board of PGE Polska Grupa Energetyczna S.A. (the"Company"), in connection with the current report no. 69/2016 datedDecember 6, 2016, discloses that on December 27, 2016 the Company hassigned a letter of intent with ENEA S.A., Energa S.A., PGNiG S.A.("Investors") and Polimex-Mostostal S.A. ("Polimex"). In the letter, theInvestors have expressed intention to consider potential investment inPolimex and have begun the talks with Polimex aimed at developingdetailed parameters of the transaction.

At the same time on December 27, 2016, the Company along with theInvestors, submitted to the Office of Competition and ConsumerProtection ("UOKiK") a request to the President of UOKiK for approval ofconcentration, that involves taking joint control over Polimex by theInvestors.
